Why Are We Updating Our Constitution?

New legislation has been put in place to modernise the rules governing incorporated societies.

The Incorporated Societies Act 2022 (the 2022 Act) and Incorporated Societies Regulations 2023 (the Regulations) came into force on 5 October 2023.

The new 2022 Act provides for the repeal of the 1908 Act.

The 2022 Act keeps the best of the 1908 legislation while codifying relevant case law in one place and filling in gaps where the rules are unclear. Specifically, it clearly sets out officers’ duties, financial reporting requirements and a requirement to have internal dispute resolution processes.

As a result we are required to reregister under the 2022 Act before 5 April 2026.

Any society that does not reregister by then will no longer exist as an incorporated society.

Our new Constitution is a total revision, but incorporates the spirit of the old Constitution. We have also clarified the requirements to be a member and added a new Associate Member category for people living elsewhere who want to maintain an association with the area.
